Effective Date
This Agreement starts upon registration by the Participant in the Platform and is enforceable between the parties beginning on that registration date.
Practizone Corp (the "Provider") agrees to provide access to the platform upon the following terms and conditions. By registering for the platform, you (the "Participant" or "You") agree to be bound by and abide by these terms.

The Provider agrees to provide access to the platform once you have registered and created your account on the Effective Date.
By registering for the Program, the Participant is granted a single-use, non-exclusive, non-transferable, revocable license to access, view and use the Program. This license is subject to the terms of the Licensing Agreement signed by the Provider with CEED.
The Participant is granted the right to download, store and print single copies of items comprising the Program. All ownership rights in the intellectual property related to the Program remain with the Provider and the Participant may not use or reproduce any content without the express written consent of the Provider.
Any violation of the copyright or trademark rights of the Provider results in immediate termination of access to the Program without refund.
The Platform is intended solely for users who are 18 years of age or older. We do not knowingly collect personal information about any minor. No such minor, nor any parent or guardian as it relates to such minor, should submit a minor's personal information through the App, Software, or otherwise.
Material in the Website/Platform is covered by the Copyright Act (Canada) and other applicable laws, policies, regulations, and international agreements. Except as granted in the limited license, any use including modification, transmission, distribution, republication, or other exploitation is prohibited without prior written consent of the Provider.
The Participant agrees to provide true, accurate, current, and complete information as prompted by any registration form and to maintain and promptly update the information, including up-to-date certificates and resumes.
The Participant is responsible for maintaining the confidentiality of the password and account, and for all activities under the account. If information is untrue, inaccurate, not current, or incomplete, or if the Provider has reasonable grounds to suspect this, the Provider may suspend or terminate access without refund.
The Provider reserves the right, in its sole discretion, to terminate access to the Platform and related services at any time if the Participant is disruptive or fails to follow Platform guidelines.
Fees for completed job shifts are due within 30 days of completed shift. Accounts over 30 days are subject to an interest charge of 3% monthly. Accounts of 60 days may be interrupted due to outstanding balance if no reason for payment delay is provided. Method of payment is e-transfer.
For clinics/employers, a minimum of 4 hours is required to change shift time or 24 hours to cancel a shift. For professionals/candidates, a minimum of 24 hours is required to change or cancel a shift. Penalties apply for cancellation with less than 24 hours notice.
A T4 will not be provided by Practizone Corp. Temp shift responsibility remains with professionals and candidates. Professionals/candidates invoice clinics/employers at the end of each shift and are encouraged to collect fees for service on the same day.
The Provider agrees to protect personal information in accordance with applicable privacy legislation in Ontario and, where applicable, the participant's jurisdiction. The Participant agrees to collection and use of personal information in accordance with the Provider's Privacy Policy for delivery and administration of the Platform.
In addition to applicable correspondence, the Participant expressly consents to receive marketing correspondence upon registration and may unsubscribe without affecting Platform access.
Information in the Website/Platform is provided for informational and educational purposes only and is not professional advice. The Participant is required to use personal judgment in applying information and may seek additional professional advice where appropriate.
The Provider is not liable for losses or damages related to websites, platforms, or technology used to deliver services being unavailable or unusable for any reason. The Participant agrees they have the necessary internet connection and technology to access the Platform.
Subject to applicable law, in no event shall the Provider and its partners, employees, consultants, agents, or licensors be liable for damages of any kind including direct, special, indirect, punitive, incidental, or consequential damages, including lost business, lost savings, lost data, or lost profits arising from use of, reliance upon, or inability to use the Website/Platform, regardless of cause.
The Platform is provided "as is" and "as available" without warranty or condition of any kind, express or implied, including statutory or implied warranties/conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, or non-infringement, to the fullest extent permissible under law.
The Provider does not represent or warrant that the Platform will be accurate, reliable, complete, current, timely, suitable for any purpose, uninterrupted, error-free, corrected, virus-free, or secure. You acknowledge and agree that use of the Platform is at your own risk.
The Participant agrees to release the Provider and its partners, employees, consultants, agents, and licensors from liabilities and damages arising from use of the Platform or this Agreement, and agrees that the sole remedy for claims, loss, damage, costs, or expenses is to cease using the Platform.
The Participant agrees to indemnify and hold harmless the Provider and related parties against claims, losses, judgments, damages, costs, and expenses (including reasonable legal fees) resulting from use of the Platform, breach of this Agreement, or third-party claims arising out of Platform use or content.
The Platform is operated by the Provider within Ontario, Canada. All matters relating to access and use are governed by the laws of Ontario and applicable federal laws of Canada. The Participant submits to the exclusive jurisdiction of the courts of Ontario.
